Company Secretary

We are looking to hire a Company Secretary with prior exposure to start-ups and venture capital/private equity transactions. The role will involve supporting the fund’s investment and governance processes, with a focus on reviewing secretarial documentation, tracking compliances, and coordinating ESG reporting.
Key Responsibilities

Review secretarial documents in connection with our investments into portfolio companies (board/shareholder consents, AVMs, filings, registers).

Track CS actions across portfolio companies and maintain internal compliance trackers.

Coordinate with portfolio company CS teams and external counsel to ensure statutory compliances are completed in relation to the investments and any continued monitoring as required.

Support the fund’s own secretarial needs (minutes, registers, consents, circular resolutions).

Manage and maintain trackers for consents, AVMs, and related secretarial actions.

Assist in ESG reporting, coordinating with portfolio companies and internal stakeholders to collate data and disclosures.

Provide day-to-day secretarial and governance support to the investment/legal teams.
Requirements

Qualified Company Secretary with 4–7 years of experience.

Prior experience in start-ups, venture capital, or private equity is strongly preferred.

Good knowledge of the Companies Act, secretarial standards, and related compliance requirements.

Strong documentation and review skills with attention to detail.

Ability to coordinate effectively with multiple stakeholders (founders, CS teams, counsel, advisors).

Familiarity with ESG reporting/compliance will be an advantage.

Strong command of written and spoken English.

Proficiency in Microsoft Office (Word and Excel).
